Terms of Service

1. Agreement
These Terms of Service ("Terms") are a binding agreement between you and Shamburg Markets LLC ("Shamburg," "we," "us") governing your use of shamburgmarkets.com, the Shamburg Markets analytical workspace at app.shamburgmarkets.com, the Shamburg Data API and developer console at developers.shamburgmarkets.com, and related documentation (together, the "Service"). By creating an account or using the Service, you accept these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind it.
We may update these Terms from time to time. Material changes will be announced in the Service or by email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
2. The Service
The Service provides financial market information and analytical tools, including market prices and statistics, company financial statements and ratios, economic indicators, sovereign interest rates, regulatory-filing-derived ownership data, corporate events, news, screening and charting tools, portfolio tracking, and programmatic access to datasets through the Data API.
The Service is provided for informational purposes only. It is not investment advice, a recommendation, an offer or solicitation to buy or sell any security, or a substitute for professional financial advice. Shamburg is not a broker-dealer, investment adviser, or exchange.
3. Accounts and API keys
You must provide accurate account information and keep it current. You are responsible for all activity under your account and any API keys. API keys are secrets: do not embed them in client-side code, commit them to public repositories, or share them outside your organization. Notify us promptly at the contact address below if you believe your account or a key has been compromised; you can revoke keys at any time in the developer console.
One account per person or organization. Creating multiple accounts to circumvent gating, rate limits, quotas, or pricing is prohibited.
4. Subscriptions, fees, and payment
Parts of the Service are available free of charge with limited depth. Paid subscriptions (for the workspace and for API plans) are billed in advance on a monthly or annual basis via our payment processor and renew automatically until canceled. You can cancel any time from your billing settings, effective at the end of the current billing period. Except where required by law, fees are non-refundable.
We may change subscription pricing or features with at least 14 days' notice; changes apply from your next renewal. For API plans, rate limits and monthly request quotas are stated for each plan; requests beyond a quota are rejected rather than billed as overage.
5. License and permitted use
Subject to these Terms and your subscription, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes.
For the Data API: you may use data returned by the API ("Data") for your internal business purposes and within applications, analyses, models, and other works you create that add substantial value beyond the Data itself. You may display Data (including derived charts and figures) to end users of your applications, provided your application does not function as a substitute for the Service.
6. Restrictions
You may not: (a) resell, sublicense, or redistribute content from the Service in bulk or in raw form; (b) scrape, crawl, or use automated means to extract data from the workspace or marketing site; (c) offer a product or service whose primary value is providing the Data or a substantially similar dataset to third parties; (d) use the Data to build, train, or seed a competing financial-data product or database; (e) share account credentials or circumvent authentication, gating, rate limits, or quotas, including by rotating accounts or keys; (f) interfere with the operation or security of the Service; (g) remove or obscure any notices we require; or (h) use the Service in violation of applicable law, including securities and export-control laws.
For the Data API, caching Data within your systems for performance is permitted. On termination of your subscription, your license to use previously retrieved Data for new work ends; works already created in compliance with these Terms are unaffected.
7. Market data
Market data is compiled from exchanges, regulators, and other third-party sources. Availability, update frequency, and delay vary by market and dataset: some data is available in real time, other data is delayed or end-of-day, in accordance with the requirements of the originating source. Quotes and market statistics are provided for your informational use and may be subject to the originating exchange's or source's terms. Timeliness is not guaranteed.
8. AI features
Parts of the Service generate summaries and analysis automatically, including AI-assisted chart analysis and news summaries. AI-generated output is produced by statistical models, may be inaccurate, incomplete, or out of date, and is not investment advice or a recommendation. Verify AI-generated output against underlying data before relying on it.
9. Portfolio and account linking
The workspace allows you to track portfolios by entering holdings manually, importing files, or linking brokerage accounts through our integration provider, Plaid. By linking an account you authorize us to receive read-only information about it (such as holdings, balances, and transactions) to provide portfolio features. We do not receive your brokerage credentials, cannot place trades or move funds, and are not a custodian of your assets. You can unlink accounts at any time in your settings.
10. Availability and support
We aim for high availability but the Service is provided without a guaranteed service level. Scheduled maintenance, upstream data-source outages, and emergency changes may cause interruptions. Data update cadences vary by dataset; timeliness is not guaranteed.
11. Data sources and accuracy
Content is compiled from public regulatory filings, government and central-bank publications, exchanges, and other third-party sources, and is processed automatically. THE CONTENT MAY CONTAIN ERRORS, OMISSIONS, OR DELAYS. You are solely responsible for verifying any content before relying on it, and for any decisions, trades, or losses arising from its use.
12. Intellectual property
The Service, including its design, documentation, software, and the selection, arrangement, and normalization of its data, is owned by Shamburg or its licensors. No rights are granted except as expressly stated in these Terms. Feedback you provide may be used by us without obligation.
13. Suspension and termination
We may suspend or revoke access or keys, throttle usage, or terminate accounts for violation of these Terms, non-payment, security risk, or where required by law. Where practical we will give notice and an opportunity to cure. You may stop using the Service and cancel at any time. Sections 6, 11, 12, and 14–18 survive termination.
14. Disclaimer of warranties
THE SERVICE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TIMELINESS, COMPLETENESS, AND NON-INFRINGEMENT.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHAMBURG WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR TRADING LOSSES, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE FEES YOU PAID FOR THE SERVICE IN THAT PERIOD (OR US$100 IF YOU PAID NONE).
16. Indemnification
You will indemnify and hold harmless Shamburg from claims, damages, and expenses (including reasonable attorneys' fees) arising from your applications, your use of the Service or its content in violation of these Terms, or your violation of law or third-party rights.
17. Governing law and disputes
These Terms are governed by the laws of the jurisdiction in which Shamburg is organized, without regard to conflict-of-laws rules, and disputes will be resolved in the courts of that jurisdiction. [Entity state of organization and venue to be confirmed with counsel.]
18. General
These Terms, together with the Privacy Policy and your plan details, are the entire agreement between you and Shamburg regarding the Service. If any provision is unenforceable, the remainder stays in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
